2. Definitions
For the purposes of these Terms of Service, the following definitions apply:

- "Services" mean video production, post-production, and related digital media services as described in our service agreements.
- "Platform" means our proprietary online system for project management and service delivery.
- "Content" means all materials, footage, scripts, and other assets provided by the Client or created by BLAKFRAME LTD.
- "Deliverables" means the final video content and related materials provided to the Client upon project completion.
- "NDA" means Non-Disclosure Agreement governing confidentiality and intellectual property protection.
3. Scope of Services
BLAKFRAME LTD provides professional video production and post-production services, including but not limited to:
- Video editing and post-production for corporate content
- Narrative development and script optimization
- Color grading, audio mixing, and technical enhancement
- Light VFX and motion graphics integration
- Platform-specific content optimization
- Performance analytics and ROI measurement
- Secure project management and collaboration tools
Service Limitations: We do not provide on-site filming services, heavy 3D animation requiring specialized software licenses, or services requiring physical presence at client locations. All services are delivered remotely through our secure platform and communication systems.
4. Client Obligations
Clients are responsible for the following obligations throughout the service engagement:
- Providing accurate project requirements and business objectives
- Supplying necessary content, footage, and materials within agreed timelines
- Providing timely feedback and approvals during project phases
- Maintaining confidentiality of project details and proprietary information
- Complying with all applicable laws and regulations
- Ensuring all provided content is properly licensed and authorized for use
- Making payments according to agreed terms and schedules
Content Requirements: Clients must provide high-quality source materials and ensure all content is properly licensed for commercial use. BLAKFRAME LTD reserves the right to request documentation of content licensing and authorization.
5. Payment Terms
Payment terms are established in individual service agreements and may include the following provisions:
- Projects require a 50% non-refundable deposit upon NDA signing and project commencement
- Balance due upon project approval and final delivery acceptance
- All payments processed securely via Paddle for global tax compliance
- Invoices are net-30 unless otherwise specified in service agreement
- Late payment fees may apply at 1.5% per month on outstanding balances after 30 days
- All pricing quoted in British Pounds Sterling (GBP) unless otherwise specified
Payment Processing: All transactions are processed through secure payment systems with appropriate tax handling and compliance measures. Clients are responsible for any applicable taxes, duties, or fees imposed by their jurisdiction.
6. Intellectual Property Rights
Intellectual property rights are governed by the following provisions:
- BLAKFRAME LTD grants Client a perpetual, non-exclusive license to use final deliverables for agreed purposes
- Raw project files, source materials, and proprietary methodologies remain the property of BLAKFRAME LTD
- Client retains ownership of all content and materials provided to BLAKFRAME LTD
- BLAKFRAME LTD may use anonymized project data for business development and case studies with Client consent
- All proprietary software, processes, and methodologies developed by BLAKFRAME LTD remain our exclusive property
License Scope: The license granted to Client covers use of final deliverables for the specific purposes outlined in the service agreement. Additional usage rights may require separate licensing arrangements.
7. Confidentiality and NDAs
Confidentiality is fundamental to our service delivery and is governed by comprehensive NDA agreements:
- All projects are protected by formal Non-Disclosure Agreements
- Client information and project details are treated as strictly confidential
- BLAKFRAME LTD maintains secure systems and protocols for information protection
- Access to project information is restricted to authorized personnel only
- Confidentiality obligations continue beyond project completion
Data Protection: We comply with UK GDPR and applicable data protection regulations, implementing appropriate technical and organizational measures to protect personal and business information.
8. Warranties and Disclaimers
BLAKFRAME LTD provides services with the following warranties and disclaimers:
- Services are provided "as is" with professional standards and industry best practices
- We do not guarantee specific ROI results or business outcomes
- Client satisfaction is our priority, but subjective preferences are not guaranteed
- We warrant that services will be performed with reasonable care and skill
- Any warranties are limited to the scope of services explicitly provided
Performance Standards: We commit to delivering services according to agreed specifications and timelines, but cannot guarantee specific business results or performance metrics beyond our direct control.
9. Limitation of Liability
BLAKFRAME LTD's liability is limited as follows:
- Total liability is capped at the total fees paid for the specific project
- We exclude liability for indirect, consequential, or special damages
- Liability limitations comply with applicable UK consumer protection laws
- Professional indemnity insurance provides additional protection as appropriate
- Force majeure events may limit or suspend liability obligations
Consumer Rights: Nothing in these terms affects statutory consumer rights under UK law, including rights under the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013.
10. Termination
Either party may terminate service agreements under the following conditions:
- Either party may terminate with 14 days' written notice
- Immediate termination for material breach of agreement terms
- Termination for non-payment after 30 days' notice
- Refunds calculated pro-rata for work completed and expenses incurred
- Confidentiality obligations continue after termination
Termination Effects: Upon termination, both parties must return confidential information and settle outstanding obligations according to the terms of the service agreement.
11. Dispute Resolution
Disputes are resolved through the following process:
- Initial attempts at direct negotiation and resolution
- Mediation through appropriate professional bodies if direct resolution fails
- Legal proceedings governed by English law and courts of England and Wales
- Alternative dispute resolution methods encouraged before litigation
Governing Law: These terms are governed by English law, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
12. Amendments and Updates
BLAKFRAME LTD reserves the right to update these terms:
- Terms may be updated with 30 days' notice to existing clients
- Updated terms apply to new projects and service agreements
- Existing projects continue under original terms unless otherwise agreed
- Significant changes will be communicated via email and platform notifications
